These Terms of Service ("Terms") govern your use of TalkCopyPaste, a desktop voice-to-text dictation application ("Software"), operated by 268B Labs LLC ("we," "us," or "our"). By downloading, installing, or using TalkCopyPaste, you agree to these Terms.

1. Acceptance of Terms

By accessing or using TalkCopyPaste, you confirm that you are at least 13 years of age and agree to be bound by these Terms. If you do not agree, do not use the Software.

2. Description of Service

TalkCopyPaste is a desktop application that converts speech to text and copies the transcription to your clipboard. The Software uses third-party speech-to-text APIs (such as Groq, OpenAI, or other providers) that you configure with your own API keys.

3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use TalkCopyPaste for personal or commercial purposes, subject to these Terms.

Free Tier: You may use the free version indefinitely with the features described at the time of download.

Pro License: The Pro license is a one-time purchase that grants you the right to use Pro features on up to three (3) devices. You may transfer licenses between your own devices. The Pro license is for your personal or business use only and may not be resold, sublicensed, or transferred to another person or entity.

4. Your Responsibilities

You are responsible for:

  • Obtaining and maintaining your own API keys from third-party providers (Groq, OpenAI, etc.)
  • All costs associated with your use of third-party APIs beyond their free tier limits
  • Complying with the terms of service of any third-party API providers you use
  • The content you dictate and how you use the resulting transcriptions
  • Maintaining the security of your API keys and license

5. Prohibited Uses

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software
  • Modify, adapt, or create derivative works based on the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software to violate any applicable law or regulation
  • Resell, redistribute, or sublicense the Software or your license
  • Use the Software to process content that violates third-party rights
  • Attempt to circumvent any licensing or usage restrictions

6. Third-Party Services

TalkCopyPaste integrates with third-party speech-to-text APIs. We are not responsible for the availability, accuracy, or performance of these services. Your use of third-party services is governed by their respective terms of service and privacy policies. We have no affiliation with, endorsement by, or sponsorship from these third-party providers.

7. Payment and Refunds

Pro License: The Pro license is available for a one-time payment. We offer a 7-day refund policy from the date of purchase. To request a refund, contact us at [email protected] with your order details. Refunds are processed through our payment processor.

Free Tier: The free tier requires no payment and is available indefinitely.

8. Intellectual Property

TalkCopyPaste and all associated trademarks, logos, and content are the property of 268B Labs LLC. These Terms do not grant you any rights to our trademarks or other intellectual property except as expressly stated.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components. Transcription accuracy depends on third-party APIs and is not guaranteed.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 268B LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE.

Our total liability for any claims arising from these Terms or your use of the Software shall not exceed the amount you paid for the Pro license, or $29, whichever is less.

11. Indemnification

You agree to indemnify and hold harmless 268B Labs LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Software, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Software after such changes constitutes acceptance of the updated Terms.

13. Termination

We may terminate or suspend your license at any time for violation of these Terms. Upon termination, you must cease all use of the Software and delete all copies. Sections 8-11 and 14-15 shall survive termination.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Jersey.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and 268B Labs LLC regarding TalkCopyPaste and supersede all prior agreements and understandings.
